This unit is designed to familiarise students with the law affecting the main types of commercial associations used for private enterprise. Partnerships and companies are examined, with most attention being given to the latter. The practical and theoretical aspects of the law relating to the internal structure and the external relations of these organisations will be studies. The unit will satisfy the requirements of accounting students seeking admission to professional accounting organisations.

Learning outcomes

demonstrate a thorough knowledge of statutory and case law relevant to partnerships, corporations and securities; demonstrate a thorough knowledge of law relating to directors' duties and shareholders' rights, the constitutional structure of the corporation and the conduct of the company general meeting; demonstrate a thorough knowledge of the law relating to the corporations external obligations in tort, contract and crime;
demonstrate a thorough knowledge of the law relevant to corporate insolvency and the particular responsibilities of directors in this regard; acquire professional experience in researching, identifying and applying the relevant law in practice, and in legal problem solving.

4977 Introduction to Business Law OR 9523 Business Law & Ethic OR 11220 Business Law.

Assumed knowledge

An understanding of the Australian Legal System and of the law of contracts (including formation, termination and remedies), the law of agency and the law of torts.

Submission of assessment items

Extensions & Late submissions

All assignments are required to be submitted by the due date.  There is no requirement for lecturers to mark assessment items that are submitted late.

If for any reason you are unable to do an assignment by the due date you must submit, to the lecturer, a request for an extension in writing before the due date (unless impossible) setting out in detail the genuine and exceptional reason for requesting the extension.  If there is a medical or counselling reason for the extension request it must be accompanied by a medical or counselling certificate which clearly states:

  • that you were unfit to complete the assignment;
  • the date of the medical or counselling consultation; and
  • the period for which you were / are / will be unfit to complete the assignment.
