The required texts and legislation for this unit are set out below. Students will need access to these materials for the purposes of completing their study in the unit. Students might purchase copies of the required texts, or access them via the 3hr/ 7day Short Loan system in the UC Library. They might obtain access to the legislation through the UC Library holdings or AUSLII.
Prescribed Text:
The prescribed text is: Robert P Austin and Ian M Ramsay: Ford, Austin and Ramsay's Principles of Corporations Law, (LexisNexis Butterworths, 16th ed, 2015).
Students must also have access to a copy of the Corporations Legislation, 2017. An annotated edition of the legislation is also published by Thomson Legal and Regulatory and students may find the references made to current cases in this annotated edition particularly helpful.
Other Useful References
Baxt R, Black A and Hanrahan P, Securities and Financial Services Law (Butterworths, 8th ed.) is a detailed additional reference for the topics of securities and financial services.
GP Stapledon, Institutional Shareholders and Corporate Governance (Clarendon Press Oxford, 1996) provides the most comprehensive and detailed coverage of this aspect of the course.
Later in the unit, some limited reference may be required to the Foreign Acquisitions and Takeovers Act 1974, but students mayrely on web resources for the purposes of this unit. A useful source of case studies on foreign corporate investments is: Geoffrey Nicoll. Gerard Brennan and Jane Golley, The Australia Chna Investment Relationship, (ANU/China in the World, 2013).

There are no special assessment requirements for this unit.
All assignments are required to be submitted by the due date. There is no requirement for lecturers to mark assessment items that are submitted late.
If for any reason you are unable to do an assignment by the due date you must submit, to the lecturer, a request for an extension in writing before the due date (unless impossible) setting out in detail the genuine and exceptional reason for requesting the extension. If there is a medical or counselling reason for the extension request it must be accompanied by a medical or counselling certificate which clearly states:
- that you were unfit to complete the assignment;
- the date of the medical or counselling consultation; and
- the period for which you were / are / will be unfit to complete the assignment.
